Seller's Terms and Conditions
ACCEPTANCE OF CONTRACT TERMS: The following are terms of a legal agreement between you and Virtual Scientific Industry's e-Business, Inc. ("VSI e-Business"). By accessing, browsing and/or using this Site, you acknowledge that you have read, understood, and agree to be bound by these terms and to comply with all applicable laws and regulations, including U.S. export and re-export control laws and regulations. If you do not agree to these terms, do not use this Site. The material provided on this Site is protected by law, including, but not limited to, United States Copyright law and international treaties. This Site is controlled and operated by VSI e-Business from its offices within the United States. VSI e-Business makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws. Any claim relating to, and the use of, this Site and the materials contained herein is governed by the laws of the state of Indiana.
CHARGES TO SELLER: Sellers agree to pay a subscription rate of $50 per month or $600 per year which entitles them to receive all requests for quotes submitted by all potential buyers for their product line. Registered Sellers also agree to pay VSI e-Business an additional $20 per month for every item they list for sale in the VSI e-Business Store. Banner Ads are at an additional cost $100 per month per ad and may be requested by registered users only. Additional Banner Ad costs may be incurred if VSI e-Business needs to design the Banner Ad.
USE RESTRICTIONS: The copyright in all material provided on this
Site is held by VSI e-Business or by the original creator of the material,
Hollyrose Web Studios, Inc.. Except as stated herein, none of the material may
be copied, reproduced, distributed, republished, downloaded, displayed, posted
or transmitted in any form or by any means, including, but not limited to,
electronic, mechanical, photocopying, recording, or otherwise, without the prior
written permission of VSI e-Business or the copyright owner. Permission is
granted to display, copy, distribute and download the materials on this Site for
personal, non-commercial use only provided you do not modify the materials and
that you retain all copyright and other proprietary notices contained in the
materials. This permission terminates automatically if you breach any of these
terms or conditions. Upon termination, you will immediately destroy any
downloaded and printed materials. You also may not, without VSI e-Business's
permission, "mirror" any material contained on this Site on any other
server. Any unauthorized use of any material contained on this Site may violate
copyright laws, trademark laws, the laws of privacy and publicity, and
communications regulations and statutes.
TRADEMARKS: The trademarks, service marks, and logos (the
"Trademarks") used and displayed on this Site are registered and
unregistered Trademarks of VSI e-Business and others. Nothing on this Site
should be construed as granting, by implication, estoppel, or otherwise, any
license or right to use any Trademark displayed on the Site, without the written
permission of the Trademark owner. VSI e-Business aggressively enforces its
intellectual property rights to the fullest extent of the law. The name of VSI
e-Business, Inc. or the VSI e-Business logo may not be used in any way,
including in advertising or publicity pertaining to distribution of materials on
this Site, without prior, written permission. VSI e-Business prohibits use of
the VSI e-Business logo as a "hot" link to any VSI e-Business site
unless establishment of such a link is approved in advance by VSI e-Business in
writing.
WARRANTY: VSI e-Business gives a one-year limited warranty of
materials and workmanship on the products it sells, unless a product is sold
with a shorter warranty period, or is sold "AS IS." "AS IS"
products are sold without warranty and cannot be repaired or replaced if found
to be defective. The period of warranty commences on the date of purchase. If
the purchased product carries a manufacturer's warranty or extended warranty
option, VSI e-Business, in addition to its own warranty, will assign whatever
manufacturer's warranty is offered with the purchase of the product sold by VSI
e-Business. The VSI e-Business one-year warranty, at the election of VSI
e-Business, covers ONLY the repair and/or replacement of products that fail when
placed in service within one-year of the product purchase date. The
warranty does not cover products physically damaged by the customer or its
employees.
A product under warranty cannot be returned without a Return Authorization
issued by VSI e-Business. VSI e-Business will provide a Return Label that
includes a preprinted RA (return authorization) number that must placed on the
outside box of the return. Products returned without this Return Label will be
rejected by the VSI e-Business Receiving Department. In addition, the return
must be addressed as follows: VSI e-Business, Attn: (RA Number), PO Box
1347, Peru, Indiana, 46970 unless another return address is provided by VSI
e-Business. A valid RA number must be referenced in the "Attn:" of the
return address to assure that the package delivery will not be refused.

WARRANTY: THE MATERIALS ON THIS SITE, UNLESS OTHERWISE INDICATED AT
THE TIME OF SALE, ARE SOLD WITH A ONE-YEAR LIMITED WARRANTY OF MATERIAL AND
WORKMANSHIP. OTHERWISE, THE MATERIAL ON THIS SITE IS SOLD WITHOUT WARRANTIES OF
ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT POSSIBLE PURSUANT TO
THE APPLICABLE LAW, VSI e-Business DISCLAIMS ALL WARRANTIES, EXPRESSED OR
IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR OTHER VIOLATION OF RIGHTS.
VSI e-Business DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE,
VALIDITY, ACCURACY, OR RELIABILITY OF, OR THE RESULTS OF THE USE OF, OR
OTHERWISE RESPECTING, THE MATERIALS ON THIS SITE OR ANY SITES LINKED TO THIS
SITE.
LIMITATION OF
LIABILITY: UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO,
NEGLIGENCE, SHALL VSI e-Business OR ANY OF ITS DIRECTORS, EMPLOYEES OR
REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA OR PROFIT,
ARISING OUT OF THE USE, OR THE INABILITY TO USE, THE MATERIALS ON THIS SITE,
EVEN IF VSI e-Business OR A VSI e-Business AUTHORIZED REPRESENTATIVE HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOUR USE OF MATERIALS FROM THIS
SITE RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR

OUR TRANSMISSIONS:

could give rise to any civil or criminal liability under the law.
TERMS OF PURCHASE: All orders and purchases from VSI e-Business
through VSI e-Business Store shall be subject to the Terms of Purchase of VSI
e-Business in effect at the time you place an order through VSI e-Business's
Store order processing system. The Terms of Purchase in effect may be reviewed
on the VSI e-Business website home page under Policies & Procedures.
Identification numbers may be assigned to use when placing orders using VSI
e-Business Store and each employee designated by you the Customer to place
orders on your behalf will be assigned a login number and password. All orders
placed through VSI e-Business Store using the Customer's identification number
will be the responsibility of the Customer and subject to the Terms of Purchase
in effect at the time. After each order is received and approved by VSI
e-Business, you will be sent an order confirmation by electronic mail and an
invoice. You VSI e-Business Store Account may be discontinued at any time by VSI
e-Business or you the Customer by written notice or electronic mail. VSI
e-Business reserves the right to discontinue or change the VSI e-Business Store
service or its availability to you the Customer at any time.
TERM OF USE & PURCHASE REVISIONS: VSI e-Business may at any
time revise these Terms of Use and Purchase by updating this posting. By using
this Site, you agree to be bound by any such revisions and should therefore
periodically visit this page to determine the then current Terms of Use and
Purchase to which you are bound.
